1. Who we are
Otters is the trading name of Otters FZ-LLC, a free zone company registered with the Ras Al Khaimah Economic Zone Authority (RAKEZ), Licence No. 17003483. These terms apply to every proposal, statement of work, and engagement between Otters and a client, unless a signed agreement says otherwise.
2. Services
Otters provides content and copywriting, SEO, AEO, and GEO, design and branding, and strategy and audits. The exact scope of any engagement is defined in the proposal or statement of work agreed with the client. Anything not listed there is out of scope.
3. Proposals and scope
A proposal becomes binding once the client accepts it in writing or pays an invoice issued under it. Verbal acceptance does not count. Work begins once the agreed deposit or first payment is received in cleared funds. Changes to scope are handled through a written change request and may affect timeline and fees. A new direction or a significant expansion is treated as new work, not a revision.
4. Fees and payment
Fees, currency, and payment schedule are set out in the proposal. By default, retainers are billed monthly in advance, and projects are billed 100% on engagement start. Invoices are quoted in USD unless agreed otherwise, and are due within the period stated on the invoice, or within 14 days if none is stated. VAT is added where it applies under UAE law; the client covers any taxes due in its own jurisdiction. Payments are non-refundable once work on the relevant deliverable or phase has started, except where Otters is in material breach. Late payment may pause active work.
5. Revisions
Each deliverable includes the rounds of revision stated in its scope. A round is one consolidated set of feedback addressed in one updated version. Additional rounds are quoted separately. Revisions cover the brief agreed; a new direction is treated as new work.
6. Intellectual property
Ownership of final, approved deliverables transfers to the client on full payment. Until then, all work remains the property of Otters. Working files, internal processes, and unused concepts stay with Otters unless agreed in writing. Otters may use third-party tools, including AI, in production, and reviews and approves every deliverable before delivery. Otters may show completed work in its portfolio unless the client asks otherwise in writing within 30 days of final delivery.
7. Confidentiality
Both sides keep each other's non-public information confidential and use it only to deliver the work. These obligations continue for two years after the engagement ends.
8. Warranties and liability
Otters delivers work with reasonable skill and care. Otters does not guarantee specific commercial outcomes such as rankings, AI citations, traffic, follower counts, or revenue, as these depend on factors outside its control. Neither side is liable to the other for indirect or consequential loss. To the extent permitted by law, Otters' total liability is limited to the lesser of the fees paid in the three months before the claim, or the fees paid for the engagement the claim relates to.
9. Termination
Either side may end a retainer with the notice stated in the proposal, or 30 days' written notice if none is stated. Either side may end an engagement without notice for uncured material breach or insolvency. The client remains responsible for fees for work delivered and committed up to the end of the notice period.
10. Governing law
These terms are governed by the laws of the United Arab Emirates as applied in Ras Al Khaimah, including the rules of RAKEZ. The parties aim to resolve disputes through good-faith negotiation first. Failing that, the courts of Ras Al Khaimah have exclusive jurisdiction.
